Terms of Service

These Terms of Service ("Terms") govern access to and use of Lokdan, the QR ordering and pay-at-table platform for restaurants ("Lokdan", "we", "us"). By creating an account, starting a free trial, or subscribing to a paid plan, you ("you", "Subscriber", acting on behalf of a restaurant or hospitality venue) agree to these Terms.
1. Who we are
Lokdan is a trading name — it is not a registered company. Lokdan is operated by Carlos A Perez Hernandez, an individual sole trader, who is the counterparty to these Terms. Contact: support@lokdan.app. A postal address is available on request and is provided to our payment processor for verification purposes.
2. The service
Lokdan is a software-as-a-service (SaaS) platform. Each restaurant or venue that subscribes (a "Venue") receives its own hosted instance where diners can scan a QR code at the table, browse the menu, place orders, and pay — without downloading an app. Lokdan provides the software, hosting, and related support; the Venue remains solely responsible for its menu content, pricing, food safety, service, and compliance with hospitality, tax, and consumer-protection law applicable to its own business.
3. Account eligibility
You must be at least 18 years old and have the authority to bind the restaurant or business you represent to these Terms. You are responsible for the accuracy of the account and billing information you provide, and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account.
4. Plans, pricing, and free trial
Lokdan is offered on three monthly subscription tiers: Starter (€19/month), Pro (€49/month), and Premium (€99/month). Current features and limits for each tier are described on the pricing page at checkout. New subscriptions include a 15-day free trial; no payment is taken until the trial ends, unless stated otherwise at checkout. If you do not cancel before the trial ends, your subscription converts automatically to a paid, recurring monthly subscription at the price of the plan you selected.
We may change plan features or pricing for future billing periods. Where required by law or by our payment provider's rules, we will give you reasonable advance notice of a price increase before it takes effect on your subscription.
5. Billing and payment
All payments for Lokdan subscriptions are processed by Paddle.com Market Limited ("Paddle"), acting as our authorized reseller and merchant of record. This means Paddle, not Lokdan, is the seller of record on your invoice/receipt, handles payment collection, EU VAT and other applicable sales taxes, and invoicing. Your purchase is subject to Paddle's own Buyer Terms and Checkout Buyer Terms of Use (available at paddle.com) in addition to these Terms — Paddle's terms govern the mechanics of the purchase and payment, while these Terms govern your use of the Lokdan service itself.
6. Cancellation
You may cancel your subscription at any time. Cancellation stops future auto-renewal but does not immediately end access — see our separate Refund & Cancellation Policy for the full grace-window mechanics, reinstatement, and refund position.
7. Acceptable use
You agree not to use Lokdan to:
- Break any applicable law, including consumer-protection, food-safety, tax, or data-protection law;
- Upload content you do not have the right to use, or that is unlawful, defamatory, or infringes a third party's intellectual property;
- Attempt to probe, scan, or test the vulnerability of the platform, or interfere with its normal operation (including denial-of-service–style behavior);
- Attempt to access another Venue's data or account without authorization;
- Reverse-engineer, resell, sublicense, or white-label the platform without our prior written consent;
- Use the platform to process orders or payments for a business other than the Venue registered on the account, without our consent.
We may suspend or terminate access for a material breach of this section, particularly where it threatens the security or availability of the platform for other Venues.
8. Service availability
We aim to keep Lokdan available and reliable, but the service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance, and we are not liable for outages caused by our hosting or infrastructure providers, internet connectivity, or events outside our reasonable control.
9. Intellectual property
Lokdan and its licensors own all right, title, and interest in the platform, including its software, design, and branding. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the platform for your Venue's ordering and payment operations during your subscription. You retain ownership of the content you upload (menus, item descriptions, images, and branding assets) and grant us a limited license to host, display, and process that content solely to provide the service to you and your diners.
10. Limitation of liability
To the maximum extent permitted by applicable law, Lokdan and its founder/operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service. Our total aggregate liability for any claim arising out of or relating to these Terms or the service will not exceed the amount you paid to us (excluding amounts collected by Paddle as tax) for the service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or fraud.
11. Subscriber obligations
You are responsible for the accuracy of menu items, prices, allergen and nutritional information, and for complying with any legal disclosure obligations that apply to your restaurant's menu and operations in your jurisdiction. You are responsible for reconciling orders and payments processed through Lokdan against your own accounting and tax obligations.
12. Termination
Either party may terminate the agreement as described in our Refund & Cancellation Policy. We may suspend or terminate your account immediately, with notice where practicable, for material breach of these Terms, non-payment after a reasonable cure period, or conduct that risks harm to the platform, other Venues, or diners. On termination, your right to access the service ends; provisions that by their nature should survive (including Sections 9, 10, and 13) will survive.
13. Governing law and disputes
These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts of Hong Kong SAR, except where mandatory law requires otherwise. This does not affect any mandatory consumer-protection rights that may apply to you under the law of your own country of residence.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice (e.g., by email or an in-product notice). Continued use of Lokdan after a change takes effect constitutes acceptance of the updated Terms.
